1. Acceptance of Terms
By accessing or using Holistika services, you agree to be bound by these Terms of Service and all applicable laws and regulations. If you do not agree with any of these terms, you are prohibited from using or accessing our services.
2. Description of Services
Holistika provides business consulting, process engineering, technology solutions, and related services. Our services include but are not limited to:
- Strategic consulting and business engineering
- Process optimization and automation
- AI-powered platform solutions (MADEIRA, Envoy, KiRBe)
- Data governance and analytics
- Organizational development
3. Client Responsibilities
As a client, you agree to:
- Provide accurate and complete information as requested
- Cooperate with our team during the engagement
- Respect intellectual property rights
- Maintain confidentiality of proprietary information
- Make timely payments as agreed
4. Intellectual Property
All intellectual property created specifically for a client engagement becomes the property of the client upon full payment, unless otherwise agreed. Holistika retains ownership of its methodologies, frameworks, tools, and pre-existing intellectual property. Clients receive a license to use these materials as part of their engagement.
5. Confidentiality
Both parties agree to maintain the confidentiality of proprietary information disclosed during the engagement. This obligation survives the termination of any agreement and applies to all confidential business, technical, and financial information.
6. Limitation of Liability
To the maximum extent permitted by law, Holistika shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses.
7. Termination
Either party may terminate an engagement with written notice as specified in the applicable service agreement. Upon termination, the client shall pay for all services rendered up to the termination date.
8. Governing Law
These Terms shall be governed by and construed in accordance with the laws of Spain, without regard to its conflict of law provisions. Any disputes arising from these terms shall be resolved in the courts of Madrid, Spain.
